Terms & Conditions — Flannel and Wick

These Terms & Conditions (“Terms”) govern your access to and use of the Flannel and Wick website and any purchases you make from us. By using our site or placing an order, you agree to these Terms. If you do not agree, please do not use our site.

1. Definitions

  • “We,” “us,” “our” means Flannel and Wick.

  • “You,” “your,” “Customer” means the person or entity using the site or placing an order.

  • “Products” means goods offered for sale on the Site (candles, home fragrance, accessories, etc.).

2. Orders & Acceptance

  • All orders are subject to acceptance and product availability.

  • An order is accepted when we send a shipment confirmation or other explicit acceptance notice to the email used at checkout. If we cannot accept your order, we will notify you and will not charge you for the unaccepted portion.

  • We reserve the right to refuse or cancel orders for any reason, including product or pricing errors, suspected fraud, or if a product is unavailable.

3. Pricing, Taxes & Payment

  • Prices listed on the Site are in U.S. dollars and exclude applicable taxes and shipping fees unless otherwise stated.

  • We collect sales tax where required by law. Tax will be displayed at checkout.

  • Payment is due at the time of purchase. We accept the payment methods displayed at checkout. All payments are subject to validation and authorization by the card issuer or payment provider. We do not store full payment card numbers on our servers.

  • If your payment is declined, we may suspend or cancel your order.

4. Shipping & Delivery

  • Shipping terms, rates, and estimated delivery times are provided on our Shipping Policy page and at checkout.

  • Delivery dates are estimates only; delays can occur. We are not liable for delays caused by carriers, customs, acts of God, or other circumstances beyond our control.

  • Risk of loss and title for Products pass to you when the carrier accepts possession of the shipment.

5. Returns, Refunds & Exchanges

  • Our Returns & Refunds Policy governs returns, refunds, and exchanges. See the Returns page for details (time windows, condition of returns, who pays shipping, etc.).

  • If you believe an item arrived damaged or defective, please contact hello@flannelandwick.com promptly with photos and your order number.

6. Subscriptions

  • If you sign up for a subscription (e.g., recurring product shipments), you authorize recurring charges to your chosen payment method at the frequency displayed when you enroll.

  • Subscription cancellation, billing cycles, and refund rules are described on the subscription product page and in the subscription terms provided at checkout.

7. Product Safety & Use

  • Products may include safety and usage instructions and warnings. You agree to follow all published safety instructions (for example: candle burn instructions).

  • We disclaim liability for misuse, negligence, or failure to follow provided safety instructions. If you have concerns about allergies, sensitivities, or Prop-65 warnings for California, contact hello@flannelandwick.com before purchase.

8. Intellectual Property

  • All content on the Site (text, graphics, logos, images, product photos, designs, and code) is owned or licensed by Flannel and Wick and is protected by copyright, trademark, and other laws.

  • You may view and download content for personal, non-commercial use only. You may not copy, reproduce, distribute, create derivative works from, publicly display, or otherwise use our content without our prior written permission.

9. User Content & Reviews

  • If you post reviews, comments, photos, or other content on the Site, you grant us a perpetual, royalty-free, worldwide, transferable license to use, reproduce, modify, and display that content in connection with our business.

  • You represent that you own or have the right to post the content and that it does not infringe third-party rights. We may remove or refuse content for any reason.

10. Disclaimers

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • We do not warrant that the Site will be uninterrupted, error-free, or secure, or that defects will be corrected.

11. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PURCHASE IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

  • IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

  • You agree to indemnify, defend, and hold harmless Flannel and Wick, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Site or Products.

13. Termination

  • We may suspend or terminate your access to the Site or your account at any time for violations of these Terms or for conduct that we reasonably believe is harmful to our business or users.

  • Termination does not limit other remedies available to us.

14. Governing Law & Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of law principles.

  • For any dispute not subject to small-claims procedures, the exclusive venue will be the state or federal courts located in (or nearest to) Charleston, West Virginia.

15. Force Majeure

  • We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, strikes, acts of government, pandemics, or carrier delays.

16. Notices

  • We may provide notices by posting them on the Site or by emailing the email address associated with your account. Notices to us should be sent to hello@flannelandwick.com.

17. Changes to These Terms

  • We may revise these Terms from time to time. If changes are material, we will provide notice (e.g., prominent notice on the Site or by email) before they become effective. Continued use of the Site after changes constitutes acceptance of the updated Terms.

18. Severability & Entire Agreement

  • If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force. These Terms constitute the entire agreement between you and Flannel and Wick regarding the Site and Products.
